Ronald D. Brown, Esq.

Managing Partner


Ronald Brown has experience representing private equity funds, private investors, portfolio companies and private companies in the structuring, negotiation and documenting of equity and debt financings, as well as experience working on asset and project finance transactions in Africa, Europe, North America and elsewhere.  He recently represented a South African private equity fund in its joint venture with the largest international company in its sector to operate a national South African business.  Ronald also has experience managing end of sale-leaseback financing transactions for a long-standing Fortune 500 telecommunications client utilizing asset retention strategies that facilitated the client’s retention of long distant fiber optic assets through lease-end acquisition or lease extension.  Ronald has experience in the structuring and negotiation of private equity investment transactions and portfolio company operating agreements and asset and project financing documentation of aircraft, power plants and other assets.  He is the former Chairman and CEO of a U.S.-based African manufacturing and sourcing company.  Ronald received his J.D. from New York University School of Law, his M.B.A. from New York University Graduate School of Business and his A.B. from Harvard College.

Jessica I. Maroz, Esq.

Jessica Maroz has experience drafting lease-end termination and amendment documents as part of sale-leaseback transactions involving extended mileage, multi-jurisdictional infrastructure, including recording right-of-way and easement agreements and related financing statements in multiple county offices in multiple states throughout the U.S.  She also has experience in right-of-way and easement work related to telecommunications assets and the structuring, negotiating, documenting and recording of amendments and terminations to public and private telecommunications easement agreements in numerous states and counties.  Prior to joining RDBA, Jessica provided in-house tax and legal counsel to multinational companies.  Jessica received her J.D. from Brooklyn Law School and her B.A. from Kenyon College.  She expects to receive her LL.M. in taxation from Georgetown University Law Center in the coming year.

Kristin Makar has experience in private equity and private company corporate work, including structuring and documenting company formation strategies, capitalization and investment initiatives, equipment acquisitions, operating agreements and corporate governance matters.  Kristin recently negotiated and drafted joint venture agreements with one of the largest industry leaders in the world to run a South African national business venture.  She also has experience structuring and drafting lease-end documents as part of sale-leaseback transactions involving extended mileage telecommunications assets, including recording right-of-way and easement agreements with multiple county offices in multiple states.  Prior to joining RDBA, Kristin practiced commercial and environmental litigation and related regulatory work in environmental matters affecting real property rights.  Kristin received her J.D., cum laude, from Seton Hall University School of Law and her B.A., summa cum laude, from Gettysburg College.
