Private Equity and Portfolio Company Practice

RDBA founder Ronald Brown’s role as former Chairman and CEO of a U.S.-based African manufacturing and sourcing company provides unique business insight for clients in all aspects of founding and/or managing an operating company.  This operational experience included engaging and managing outside corporate legal counsel relationships, thereby enhancing RDBA’s understanding and appreciation of the operating company experience with outside legal counsel.

Recently, RDBA represented an offshore private equity investor with a $20M plus minority interest in a non-US investment asset.  RDBA worked with its private investor client on all aspects of the ongoing shareholder debt and equity capitalization of the offshore company that owned the operating asset.

RDBA also has experience representing a South African-based private equity firm in its 18-plus month successful effort to become the operator of a South African national business venture, including structuring, negotiating and documenting the joint venture operating agreements with the largest industry leader in the world.  This client now operates a national South African business and remains an ongoing client of the firm.

The Private Equity and Portfolio Company Practice focuses on private equity transactions and representing small to medium-sized portfolio companies.  RDBA attorneys have worked on transactions with U.S. and offshore private equity investors and with U.S. and offshore portfolio companies.  The firm’s private equity and portfolio company experience ranges from corporate formation to initial capitalization to ongoing equity and debt investments and to working with portfolio operating companies on all aspects of their day-to-day business operations and operating company agreements.  RDBA affords private company capital providers and operating companies and management teams with boutique corporate legal services to support the legal needs of a private investor or operating company throughout the business cycle of a company.
